Terms of Service
Effective September 19, 2026
These terms govern your use of Duck Party’s website, desktop app, and hosted services, provided by Modern Matter LTD (“we,” “us,” or “our”). By using Duck Party, you agree to these terms. If you do not agree, do not use the service. Contact us at legal@duck.party.
Access to the beta
Duck Party is an invite-only beta. Anyone may download the app, but downloading does not grant an account or access to hosted features. You must be at least 18 and legally able to accept these terms. If you act for an organization, you must be authorized to bind it.
Provide accurate account information, protect your sign-in links and devices, and only share invitations through supported features. You are responsible for activity you authorize through your account. Let us know if you suspect unauthorized access.
Using Duck Party
Duck Party lets you collaborate on projects and use supported AI models and coding harnesses, including OpenCode, Pi, Claude Code, and Codex. Available models, features, and usage limits vary by harness and may change during the beta. A listed harness does not imply that all features of its original application are available in Duck Party.
Use the service lawfully and respect others’ rights. Do not upload content you lack permission to use, distribute malware, compromise other accounts or systems, harass others, bypass access or usage controls, or interfere with the service. Only authorize work on systems and data you are permitted to access.
Your content and shared work
You retain your rights in the content you provide. You grant Modern Matter LTD permission to host, copy, process, transmit, and display that content as needed to operate the service and carry out your requests, including sharing it with your collaborators and the providers needed for an AI task.
Share only material you are entitled to share. Project members can see and modify shared work, and may retain copies. Keep your own backups and agree with collaborators on permissions and ownership. These terms do not determine ownership between collaborators or transfer anyone else’s intellectual property to you.
As between you and Modern Matter LTD, we do not claim ownership of AI output generated for you. This does not guarantee that output is unique, copyrightable, or free of third-party rights; applicable provider terms and licenses still matter.
AI and hosted execution
AI output may be inaccurate, incomplete, insecure, or unsuitable for your intended use. Review generated code and other output, test changes, and verify results before relying on them or deploying them.
When you authorize a coding task, the agent may run commands and change files within the permissions available to its hosted workspace. New sessions and sessions continued after an import use hosted execution. Review permission requests and proposed changes carefully.
Third-party models, tools, hosting services, and integrations may have separate terms and privacy policies. You must comply with the terms that apply to your use. Duck Party is not affiliated with or endorsed by a harness or model provider merely because we support its tools.
Beta availability and changes
The beta may contain errors, experience interruptions, or change or lose features and stored data. It is not a backup service. We may change limits, restrict access, or discontinue the beta. The current Mac test build is not yet signed or notarized by Apple.
Any future paid Duck Party offering will disclose its price and applicable billing terms before you are asked to purchase it. These terms do not authorize undisclosed charges.
Our software and your privacy
We grant you a limited, non-exclusive permission to use Duck Party in accordance with these terms. Modern Matter LTD and its licensors retain rights in the service, branding, and software, subject to the licenses of included open-source components.
Our Privacy Policy explains how we handle personal information, including shared content and information sent to AI providers.
Suspension and ending use
You may stop using Duck Party at any time and contact us to request account closure or deletion of personal information. We may suspend or end access for a breach of these terms, security or legal reasons, or discontinuation of the service. Where practical and legally permitted, we will provide notice. Ending access does not automatically remove copies held by collaborators or records we are permitted or required to retain.
Disclaimers and liability
To the extent permitted by applicable law, Duck Party is provided “as is” and “as available,” without warranties of uninterrupted operation, accuracy, fitness for a particular purpose, or non-infringement. To the extent permitted by law, Modern Matter LTD is not liable for indirect or consequential losses arising from use of the service, including lost profits or business opportunities.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, or takes away mandatory consumer or data protection rights.
Changes and contact
We may update these terms and will post the revised version with a new effective date. We will provide notice of material changes and obtain agreement where required by law. If you do not accept a change, stop using the service. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
